Terms of Service

Effective: 22 July 2026
ART. 1

1. Scope and Acceptance

These Terms of Service ("Terms") constitute a binding agreement between The Compliance Desk ("we," "us," "our") and any business, professional, or organization ("Customer," "you") that accesses or purchases access to Archon, our AI-based regulatory intelligence assistant, or any associated digital products, including compliance guides, checklists, templates, and monitoring services (collectively, the "Services").

By purchasing, subscribing to, or otherwise accessing the Services, you accept and agree to be bound by these Terms in full.

ART. 2

2. Description of Services

The Compliance Desk provides:

  • Archon — an AI-based information tool employing retrieval-augmented generation, answering queries exclusively from a curated knowledge base of primary EU regulatory text, currently comprising the AI Act, the Construction Products Regulation, the Machinery Regulation/Directive, the EMC Directive, and the Low Voltage Directive.
  • The Monitor — an automated regulatory change alert service across the same regulatory domains.
  • Downloadable compliance guides, checklists, and reference templates.
  • Where separately contracted: white-label licensing and Concierge advisory arrangements, each governed by an additional signed agreement.
ART. 3

3. Nature of the Service — Not Legal Advice

Archon is engineered to answer exclusively from the verbatim text of the regulations in its knowledge base, and is designed not to generate information beyond what its retrieved sources support. This architecture is fundamental to the Service and distinguishes it from general-purpose AI tools.

Notwithstanding this design, the Services constitute a professional information resource, not a substitute for individualized legal or compliance advice, and do not create an advisory, fiduciary, or professional relationship of any kind. Regulatory text may be subject to interpretation, may be superseded by subsequent amendment before our systems are updated to reflect it, and general regulatory information may not account for facts specific to your organization. You remain solely responsible for verifying the applicability of any information obtained through the Services to your specific circumstances, and for your organization's ultimate compliance with applicable law. We recommend confirming any material compliance decision with independent qualified counsel.

ART. 4

4. Eligibility

The Services are provided exclusively for business use by companies, law firms, consultancies, and professionals acting within their trade, business, or profession. By purchasing the Services, you represent that you are acting in such a capacity.

ART. 5

5. Subscriptions, Billing, and Payment

Payments are processed by Stripe, Inc. and its affiliates; we do not receive or store full payment card details. Subscription tiers renew automatically for successive billing periods until cancelled in accordance with Section 6. Prices are subject to change for future billing periods upon no less than thirty (30) days' notice. Value Added Tax is calculated and applied automatically in accordance with applicable EU VAT rules, including the reverse-charge mechanism for verified EU business customers.

ART. 6

6. Cancellation and Refunds

Subscriptions may be cancelled at any time, effective at the conclusion of the then-current billing period; no pro-rata refund is issued for the unused portion of that period except where required by applicable law. One-time digital products are, upon delivery, non-refundable given their nature as digital content, except where required by applicable law or at our sole discretion.

ART. 7

7. Acceptable Use

You shall not: resell, sublicense, or redistribute the Services absent a separate written reseller or white-label agreement; extract or systematically reproduce the underlying knowledge base for the purpose of constructing a competing product; or represent Archon's output as independent professional analysis to your own end clients without appropriate disclosure of its AI-assisted nature where relevant.

ART. 8

8. Intellectual Property

All software, curation methodology, and original written content constituting the Services remain the exclusive property of The Compliance Desk. The underlying regulatory texts are public and are not claimed as proprietary.

ART. 9

9. Limitation of Liability

To the maximum extent permitted by applicable law, the Services are provided on an "as is" basis, without warranty of completeness, accuracy, or fitness for a particular purpose. The Compliance Desk shall not be liable for indirect, incidental, or consequential damages, including regulatory penalties or business losses, arising from reliance upon information provided through the Services. Our aggregate liability arising from any claim shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim.

ART. 10

10. Data Protection

Our processing of personal data is governed by our Privacy Policy, incorporated herein by reference.

ART. 11

11. Term and Termination

We reserve the right to suspend or terminate access to the Services in the event of a material breach of these Terms, non-payment, or misuse. You may terminate your subscription as set out in Section 6.

ART. 12

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Austria. The mandatory provisions of European Union law, including but not limited to the General Data Protection Regulation, apply irrespective of this choice of law where legally required. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of Salzburg, Austria, save where mandatory consumer protection law provides otherwise.

ART. 13

13. Amendment

We may amend these Terms from time to time. Continued use of the Services following the effective date of any amendment constitutes acceptance of the amended Terms.

ART. 14

14. Legal Notice

The Compliance Desk is operated as a sole proprietorship (Einzelunternehmen) under Austrian law by Gyula Dancsi, registered with the Bezirkshauptmannschaft Zell am See, VAT ID ATU83453914, established in Leogang, Austria.
